Agreement to Terms

By accessing or using Codelio's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.

Use License

Permission is granted to temporarily access and use Codelio's services for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

• Modify or copy the materials
• Use the materials for any commercial purpose or for any public display
• Attempt to decompile or reverse engineer any software contained in our services
• Remove any copyright or other proprietary notations from the materials
• Transfer the materials to another person or "mirror" the materials on any other server

User Accounts

When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our service. You are responsible for safeguarding the password that you use to access the service and for any activities or actions under your password.

Intellectual Property

The service and its original content, features, and functionality are and will remain the exclusive property of Codelio and its licensors. The service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Prohibited Activities

You may not access or use the service for any purpose other than that for which we make the service available. The service may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us. Prohibited activity includes, but is not limited to:

• Systematically retrieving data or other content from the service to create a collection or database
• Making any unauthorized use of the service
• Using the service to advertise or offer to sell goods and services
• Engaging in unauthorized framing of or linking to the service
• Interfering with, disrupting, or creating an undue burden on the service
• Attempting to impersonate another user or person

Disclaimer

The materials on Codelio's services are provided on an 'as is' basis. Codelio makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

Limitations of Liability

In no event shall Codelio or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use Codelio's services, even if Codelio or an authorized representative has been notified orally or in writing of the possibility of such damage.

Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the service will immediately cease.

Governing Law

These Terms shall be governed and construed in accordance with the laws of France, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
